Terms of Export

These Terms of Export govern all sourcing, inspection, documentation, and logistics services provided by Guangzhou Nido Trading Co., Ltd. Placing an order or signing a proposal with us constitutes acceptance of these terms.

01. Scope of services

We provide manufacturer sourcing, negotiation, quality control, export documentation, and freight coordination as described in each written proposal. Services outside a signed proposal require a separate quotation.

02. Quotations and orders

Quotations are valid for 30 days unless stated otherwise. Orders are confirmed only after receipt of a signed proforma invoice and any agreed deposit.

03. Prices and payment

Prices are quoted in USD unless agreed otherwise and are exclusive of destination duties and taxes. Standard payment terms are 30% deposit on order and 70% against copy of the bill of lading, unless a different structure is negotiated.

04. Incoterms and delivery

Unless otherwise agreed, shipments are made under Incoterms 2020. Delivery dates are estimates and may be affected by production, inspection, customs, or force majeure events.

05. Quality and inspection

Where inspection services are engaged, goods are inspected against the agreed specification and AQL. Claims relating to inspected characteristics must be raised in writing within 15 days of arrival, supported by photographic evidence.

06. Export compliance

The client is responsible for import compliance in the destination country, including customs classification, duties, and any regulatory approvals. We prepare export documentation in accordance with Chinese law.

07. Limitation of liability

Our aggregate liability under any engagement is limited to the fees paid for the specific service that gave rise to the claim. We are not liable for indirect or consequential losses.

08. Governing law

These terms are governed by the laws of the People's Republic of China. Disputes shall be resolved by the competent courts of Guangzhou or, by mutual agreement, by arbitration at CIETAC.
